Welcome to Vynkify. Vynkify is operated by Fluition Sphere LLP ("Vynkify", "we", "our", or "us").

These Terms & Conditions ("Terms") govern your access to and use of the Vynkify mobile application, website, integrations, and related services (collectively, the "Services").

By creating an account, accessing, or using Vynkify, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

1. Eligibility

You must be 18 years of age or older to create an account or use Vynkify.

By using the Services, you represent and warrant that you:

• are at least 18 years old;

• have the legal capacity to enter into these Terms; and

• will use the Services in accordance with applicable law.

Vynkify is not intended for children.

2. Account Registration and Security

You may create a Vynkify account using:

• email and password;

• Google;

• Apple;

• Facebook; or

• another authentication method that Vynkify may support.

You are responsible for:

• providing accurate and current information;

• maintaining the confidentiality of your login credentials;

• protecting access to your device;

• all activity performed through your account; and

• promptly notifying us if you believe your account or device has been compromised.

You must not share your Vynkify login credentials with another person.

Some sensitive features may require additional authentication or device security controls, including Face ID, fingerprint, or another biometric method supported by your device. Biometric verification is performed by your device or operating system; Vynkify does not receive or store your fingerprint, facial biometric template, or other raw biometric data.

3. The Services

Vynkify provides productivity, collaboration, financial organisation, and personal information-management tools. Features may include:

• tasks, reminders, subtasks, and calendar views;

• habits, streaks, check-ins, and activity tracking;

• goals and progress tracking;

• expense, income, savings, investment, self-transfer, budget, payment-method, subscription, and other financial tracking;

• shared groups called Vynks;

• shared tasks, habits, expenses, documents, secrets, and other collaborative information;

• Family, Friends, Trip, and other Vynk types;

• trip planning and itinerary management;

• document storage and sharing;

• storage and sharing of secrets or other sensitive records;

• invitation links, invite codes, email invitations, and QR-code based invitations;

• subscription and renewal-date tracking;

• optional Gmail integration through Inbox sync;

• suggested financial transactions and subscription information derived from authorised email content;

• automated suggestions, categorisation, summaries, reminders, and similar intelligent features; and

• other features introduced from time to time.

Feature availability may depend on your device, operating system, location, third-party services, technical limits, or staged rollouts.

4. User Content

4.1 Ownership

You retain ownership of content that you create, enter, upload, import, or intentionally share through Vynkify ("User Content").

User Content may include tasks, habits, goals, notes, financial records, budgets, payment-method records, subscription information, trip information, itineraries, documents, photos, attachments, secrets, credentials, and Vynk content.

4.2 Permission to Process User Content

You grant Vynkify a limited, non-exclusive, worldwide, royalty-free licence to host, store, transmit, process, display, reproduce, and otherwise handle User Content only as reasonably necessary to:

• provide the features you choose to use;

• synchronise your data across supported devices and services;

• enable collaboration that you initiate;

• secure, maintain, troubleshoot, and support the Services; and

• comply with applicable law.

This licence does not transfer ownership of your User Content to Vynkify.

Google user data obtained through Gmail is additionally subject to the purpose limitations described in Section 9 and our Privacy Policy and is not covered by any broader right to reuse content for unrelated purposes.

4.3 Third-Party Rights

You must only upload, store, or share content that:

• you own;

• you are authorised to use or share; or

• you otherwise have a lawful right to process through Vynkify.

You must not use Vynkify to infringe another person's intellectual property, privacy, confidentiality, contractual, or other legal rights.

5. Vynks and Collaboration

Vynks allow users to collaborate and share information with other members.

Depending on the Vynk type, membership, and permissions, members may be able to view or interact with:

• tasks;

• habits;

• expenses and other financial records;

• goals;

• documents and attachments;

• secrets or sensitive records;

• trip information and itineraries;

• member information; and

• other shared content.

You are responsible for deciding what information you share and who you share it with.

5.1 Invitations and Join Links

Vynkify may allow invitations through:

• email invitations;

• invite codes;

• shareable links;

• QR codes; or

• other supported invitation methods.

Treat invite links, codes, and QR codes as access credentials. Do not intentionally share them with people you do not want to receive the associated access.

Depending on the Vynk's settings and invitation type, a recipient may be able to join or request access.

5.2 Copies Retained by Other Users

When you intentionally share information with another user, that person may be able to view, download, copy, save, photograph, screenshot, or otherwise retain it.

Removing a member, leaving a Vynk, deleting shared content, or deleting your Vynkify account may prevent future access through Vynkify, but cannot guarantee deletion of copies another person already retained outside the Services.

Vynkify is not responsible for how another user uses information that you intentionally shared with them.

6. Documents, Secrets, and Sensitive Information

Vynkify may allow you to store or share documents, credentials, passwords, important records, and other sensitive information.

You are responsible for deciding whether particular information is appropriate to store or share through Vynkify.

You should:

• share sensitive information only with trusted recipients;

• regularly review Vynk membership and access;

• protect your Vynkify account and device;

• remove access when it is no longer required; and

• maintain independent copies of important information where appropriate.

Vynkify uses security controls designed to protect sensitive information. However, no online service, device, network, encryption system, or storage system can guarantee absolute security.

Vynkify should not be treated as the only backup location for information that would be difficult or impossible to replace.

7. Trips and Itineraries

Vynkify may provide tools for creating trips, storing travel-related information or documents, building itineraries, adding places, and collaborating with other travellers.

These features are organisational tools only. Vynkify is not a travel agent, airline, hotel, transportation provider, immigration adviser, or travel-document authority.

Travel information, schedules, place information, opening hours, prices, routes, and third-party information may change or may be inaccurate.

You are responsible for independently verifying important travel information, including:

• transport schedules;

• accommodation bookings;

• passport and visa requirements;

• entry requirements;

• reservations;

• travel insurance;

• health or safety requirements; and

• other time-sensitive or official information.

8. Financial and Subscription Tracking Features

Vynkify provides tools to help you organise and track financial information. These may include:

• expenses;

• income;

• savings;

• investments;

• shared expenses;

• self-transfers;

• financial goals;

• budgets, budget periods, spending progress, and optional budget-alert thresholds;

• payment-method records used to organise financial entries and self-transfers;

• subscriptions and expected renewal dates;

• suggested transactions; and

• other financial records.

These features are provided for informational and organisational purposes only.

Vynkify:

• is not a bank;

• is not a payment processor;

• does not execute bank transfers or settle debts;

• does not provide investment advice;

• does not provide financial, tax, accounting, or legal advice; and

• does not guarantee the accuracy of financial records or automated suggestions.

You are responsible for reviewing and verifying your financial information.

8.1 Budgets and Budget Alerts

Vynkify may allow you to create budgets for financial tracking. A budget may apply overall or to a category or Vynk and may include a period, amount, start/end dates, notes, and an optional alert threshold.

Vynkify may calculate spending progress, remaining amounts, and threshold status from the financial records available to the app.

Budgets and budget alerts are organisational aids only. They do not restrict your real-world spending, block a transaction, or guarantee that an alert will be delivered before you exceed a budget. You remain responsible for monitoring your actual finances.

8.2 Payment Methods

Vynkify may let you create or select payment-method records to organise financial entries and self-transfers. Depending on what you enter, a payment-method record may include a name, type or category, bank or institution label, and optional limited identifying digits such as the last digits of a card or account.

These records are bookkeeping labels only. Vynkify does not use them to charge a card, initiate a UPI payment, access a bank account, or execute a transfer.

Do not enter full card numbers, CVV/CVC codes, PINs, online-banking passwords, UPI PINs, or other payment credentials into Vynkify fields that are not specifically designed to collect them.

8.3 Shared Expenses and Settlements

Any amount shown as owed, payable, receivable, or settled between Vynk members is an organisational record only.

Actual payments and settlements take place independently between users unless Vynkify expressly introduces and identifies a separate payment-processing feature in the future.

Vynkify is not responsible for disputes regarding debts, reimbursements, settlements, or shared expenses.

8.4 Tracking Third-Party Subscriptions

Vynkify may help you record or detect subscriptions to third-party services and expected renewal dates.

Subscription information may come from information you enter, connected Gmail data, historical financial information, or automated detection.

Subscription reminders and renewal dates are organisational aids and may be incomplete or inaccurate.

Removing a subscription from Vynkify does not cancel the subscription with the third-party provider. You remain responsible for managing and cancelling subscriptions directly with the relevant provider.

9. Optional Gmail Integration — Inbox Sync

Vynkify offers an optional Gmail integration called Inbox sync.

If you connect Gmail, you authorise Vynkify to access your Gmail account using the permissions presented during Google OAuth.

Vynkify currently uses Google's read-only Gmail permission:

Inbox sync is limited to reading Gmail messages and message-related metadata needed for the feature. It does not request permission to change your Gmail mailbox, and it does not request access to Google Drive, Google Calendar, or Google Contacts.

9.1 How Gmail Data Is Used

When Inbox sync is enabled, Vynkify may process authorised email metadata and message content to identify user-facing financial information, including:

• bank alerts;

• card or payment notifications;

• purchase confirmations;

• receipts;

• subscription and renewal notices;

• refunds;

• income or credit notifications; and

• similar financial communications.

Detected information may be presented as suggested transactions, subscription information, or related financial records.

You may review, modify, accept, or reject suggestions before relying on them.

9.2 What Vynkify Does Not Do Through Gmail Read-Only Access

Vynkify does not use the Gmail read-only integration to:

• send emails;

• compose emails;

• modify emails;

• delete emails;

• label emails; or

• otherwise change your Gmail mailbox.

9.3 Automated Suggestions

Email-based detection is automated and may occasionally:

• miss transactions;

• misidentify transactions;

• extract an incorrect amount, date, merchant, or category;

• detect duplicates;

• misinterpret subscription information; or

• otherwise produce incomplete or inaccurate results.

You are responsible for reviewing suggested information before accepting or relying on it.

9.4 Gmail Data and Vynks

Gmail mailbox content and Gmail-derived suggestions remain private to your account unless you intentionally create or share a derived Vynkify record with other users.

Vynkify does not automatically expose Gmail messages to other Vynk members.

9.5 Disconnecting Gmail

You may disconnect Gmail through Vynkify's Inbox sync controls.

You may also revoke Vynkify's access through Google Account permissions.

After disconnection or revocation, Gmail-related data is handled as described in our Privacy Policy.

Vynkify's use of Google user data is also subject to the Google API Services User Data Policy, including applicable Limited Use requirements.

10. Automated and Intelligent Features

Certain Vynkify features may use rules, machine learning, artificial intelligence, or other automated processing to provide transaction detection, categorisation, suggestions, summaries, reminders, or similar outputs.

Automated outputs may be incomplete, delayed, or incorrect. They are intended to assist you and should not replace your own judgement.

You should independently verify important information before making significant financial, travel, security, legal, tax, or other decisions.

Unless expressly stated in our Privacy Policy, connecting a third-party service does not give Vynkify unrestricted permission to use information from that service for unrelated purposes.

11. Notifications and Reminders

Vynkify may provide task, habit, goal, subscription, shared activity, trip, financial, and other notifications or reminders.

Delivery may depend on device settings, operating-system permissions, internet connectivity, push-notification services, background processing, and other factors outside Vynkify's control.

Vynkify does not guarantee that a notification or reminder will arrive at a particular time or at all.

Do not rely solely on Vynkify for critical deadlines, payments, travel departures, emergencies, or other time-sensitive obligations.

12. Offline Use, Sync, Storage, and Service Limits

Certain Vynkify features may support offline access or offline creation. Information created while offline may need to synchronise when connectivity returns.

Sync conflicts, interrupted connectivity, device failures, application errors, or third-party outages may occasionally cause delays or inconsistencies.

You should review important information after reconnecting.

Vynkify may impose reasonable technical limits such as storage, file-size, member, usage, sync, or email-processing limits to protect service reliability and security.

13. Prohibited Activities

You agree not to:

• use Vynkify for unlawful, fraudulent, abusive, or deceptive activity;

• access another person's account or data without authorisation;

• attempt to obtain information you are not authorised to access;

• upload malicious software, harmful files, or illegal content;

• harass, threaten, impersonate, or abuse another user;

• circumvent security controls, rate limits, access controls, quotas, or permissions;

• probe, scan, or test vulnerabilities without written authorisation;

• reverse engineer the Services except where expressly permitted by applicable law;

• scrape or systematically extract Vynkify data without permission;

• resell or redistribute Vynkify services or third-party data without authorisation;

• connect Gmail accounts that you do not own or are not authorised to access;

• use Gmail integration to scrape, bulk-export, profile, sell, or redistribute mailbox content;

• share documents, credentials, secrets, or other information that you are not authorised to disclose;

• use invitations to spam, harass, or deceive others; or

• interfere with the operation of the Services or another user's use of them.

14. Third-Party Services

Vynkify may interact with third-party services, including Google, Apple, Facebook/Meta, cloud and infrastructure providers, notification services, analytics or crash-reporting services, and other technology providers needed to operate supported features.

Your use of a third-party service may also be governed by that provider's terms and privacy policies.

Vynkify does not control third-party services and cannot guarantee their continued availability, accuracy, security, or functionality.

A third party may change, restrict, suspend, or discontinue access to its service or API, which may affect related Vynkify features.

15. Account Suspension and Termination

We may restrict, suspend, or terminate access to Vynkify if we reasonably believe that you:

• violated these Terms;

• misused the Services;

• created a security risk;

• engaged in unlawful or fraudulent activity;

• infringed another person's rights;

• abused invitations, Vynks, integrations, or connected services; or

• used Vynkify in a way that could harm Vynkify, its users, or third parties.

We may also take action where required to comply with applicable law or valid legal process.

Where reasonably possible, we may provide notice before termination, but immediate action may be taken where required for security, legal, fraud-prevention, or abuse-prevention reasons.

16. Account Deletion

You may initiate deletion of your Vynkify account through the available in-app account-deletion controls.

When your account is deleted:

• you will lose access to the Services;

• connected third-party access may be revoked where applicable;

• Gmail connections will be disconnected;

• Gmail-derived information will be handled according to our Privacy Policy; and

• your personal data will be deleted or retained in accordance with our Privacy Policy and applicable law.

Information you intentionally shared into a Vynk may have collaborative effects. Account deletion may not remove copies another person retained outside Vynkify, and certain shared records may be retained, de-identified, or otherwise handled as described in our Privacy Policy where necessary to preserve legitimate shared records or comply with law.

Deleting the mobile application from your device does not delete your Vynkify account.

Deleting your Vynkify account does not delete your Google, Apple, Facebook, Gmail, or other third-party accounts.

17. Intellectual Property

Except for User Content and identified third-party materials, Vynkify and its licensors retain all rights in the Vynkify name, logos, software, interface designs, product designs, graphics, documentation, features, original icons, and other intellectual property.

You may not copy, modify, reproduce, sell, redistribute, sublicense, or create derivative works from Vynkify intellectual property except as permitted by law or with our written permission.

Third-party open-source software, fonts, icons, and other licensed materials remain subject to their respective licences.

Where applicable, third-party licence information is available within Vynkify under About the app → Open-source licences or an equivalent location.

18. Service Changes

Vynkify is an evolving product. We may add, modify, restrict, replace, suspend, or discontinue features from time to time.

We may also change reasonable technical limits where needed for security, reliability, product development, or legal compliance.

Where applicable law requires notice or consent for a material change, we will provide it.

19. Disclaimer of Warranties

To the maximum extent permitted by law, Vynkify is provided on an "as is" and "as available" basis.

We do not guarantee that:

• the Services will always be available or uninterrupted;

• data will always synchronise without delay or conflict;

• suggestions or automated outputs will always be accurate;

• financial or subscription information will always be complete;

• travel information will always be current;

• notifications will always be delivered;

• third-party integrations will remain available; or

• the Services will meet every user's particular requirements.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Vynkify and its affiliates, officers, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from your use of the Services.

This may include losses arising from:

• loss of data;

• lost profits or business opportunities;

• missed reminders or notifications;

• incorrect financial records;

• incorrect automated suggestions;

• subscription-renewal errors;

• travel-planning inaccuracies;

• content intentionally shared with another user;

• disputes between Vynk members; or

• third-party service failures.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

21. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold Vynkify harmless from claims, losses, liabilities, and reasonable costs arising from:

• your unlawful use of the Services;

• User Content that you were not authorised to upload or share;

• your violation of another person's rights; or

• your material violation of these Terms.

This section does not apply where liability results from Vynkify's own unlawful conduct.

22. Privacy

Our collection and processing of personal information is described in the Vynkify Privacy Policy.

The Privacy Policy should be read together with these Terms.

23. Changes to These Terms

We may update these Terms to reflect new features, changes to the Services, legal or regulatory requirements, security requirements, or changes to third-party integrations.

We will update the version and "Last Updated" date when these Terms change.

Where required by applicable law, we will provide additional notice or obtain consent before material changes become effective.

Your continued use of Vynkify after updated Terms become effective constitutes acceptance where permitted by law.

24. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Any mandatory rights available to you under applicable consumer or data-protection law remain unaffected.
